Welcome to synapsesystems.cloud (the “Site”). These Terms of Service (“Terms”) govern your access to and use of the Site, owned and operated by Synapse Systems Cloud, a Artificial Intelligence Machine Learning Company, with its principal place of business at Franklin Street – Melbourne.
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE.
By accessing or using the Site in any manner, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are prohibited from using or accessing the Site.

Our Services are designed to provide scalable computing resources, enable sophisticated AI development, allow users to analyze complex datasets. All Services are provided subject to these Terms and any applicable privacy policy. We reserve the right to modify, suspend, or discontinue any Service with reasonable notice posted on the Site.
4. User Accounts and Security
a. Account Creation: To access certain features or services, You may be required to register for an account (“Account”). You must provide accurate, current, and complete information during registration and keep Your Account information updated.
b. Security Responsibility: You are responsible for safeguarding Your Account and for all activities that occur under Your Account, whether or not You have authorized them. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your Account. You are responsible for Your interactions with other users of the Site.

* Upload, post, email, transmit, or otherwise make available any viruses, Trojan horses, worms, time-bomb software, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
* Upload, post, email, transmit, or otherwise make available any content that You do not have a right to make available under any law or under contractual or fiduciary relationships (with a company, website, or other entity).
* Access any content on the Site through any technology or means other than those provided by Us for the purpose of connecting to the Site.
c. Intellectual Property: You retain ownership of any content you post on the Site (excluding any submissions made via Services that involve code/data processing). You grant Us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify (for technical purposes), transmit, display, and distribute that content as necessary for the provision of the Services and Site. You acknowledge that We may need to host your data on servers located outside your country for operational purposes, and You agree to this.

User-generated content (including data uploaded via Services) must comply with:

* Not infringing any third party rights (including copyright, trademark, privacy, publicity, or other personal or proprietary rights).
* Not containing libellous or unlawful material.
* Not being unsolicited or inappropriate (“junk mail,” “spam,” “chain letters,” “pyramid schemes,” or “adult content”).
7. Data Privacy and Security
a. Collection and Use: Our Privacy Policy, accessible at https://news.synapsesystems.cloud/contact/privacy-policy/, details the information We collect, how We use it, and the steps We take to protect it. By using the Site, You consent to the data collection and processing described in the Privacy Policy.
b. Security: We strive to protect Your data and account, but We cannot guarantee absolute security. We implement reasonable technical and organizational safeguards to protect the data We process. However, You acknowledge that the security of any system cannot be guaranteed, and You are responsible for maintaining the confidentiality of Your account information and password.

prior written consent from Us.
b. Your Content: As noted in Section 5.c, You retain ownership of Your content posted on the Site, but grant Us the necessary license to provide the Services. You retain all rights to Your submissions, subject to these Terms.
c. Third-Party Materials: The Site may contain links to third-party websites or services that are not operated by Us. We have no control over and assume no responsibility for the content, privacy policies, or practices of third-party websites or services. Using these links does not imply an endorsement by Us or any association with their providers. We advise You to review the terms of use and privacy policy of any third-party website before proceeding.
9. Copyright Policy and DMCA
We respect the intellectual property rights of others. Our Site includes the DMCA Copyright Policy for our Service. To the maximum extent permitted by applicable law, Synapse Systems Cloud shall not be liable for:
* Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from Your access to or use of or inability to access or use the Site or Services.
* Any interruption or discontinuance of the Site or Services.
* Errors, omissions, viruses, or bugs in the Site or Services.
* Content obtained from the Site or Services, including User Content or Third-Party Content.
* Your failure to comply with Your obligations under these Terms.
* Any other matter relating to the Site or Services.
The liability of Synapse Systems Cloud and its licensors and service providers shall not arise from any use of the Site or Services in a manner or for purposes other than those intended or permitted by Us.
12. Indemnification
You agree to defend, indemnify, and hold harmless Synapse Systems Cloud , its affiliates, licensors, officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to Your use of the Site, Your access to the Site, Your violation of these Terms, or Your use of any services obtained through the Site, except where
caused by Synapse Systems Cloud gross negligence or willful misconduct.
13. Termination
a. Termination by Us: We may terminate or suspend Your access to all or part of the Site or Services at any time, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms. Upon termination, Your right to use the Site will immediately cease.
b. Effect of Termination: Following termination, all provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. You may properly cease any use of the Site upon termination of these Terms.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of Victoria Australia, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms or the Site shall be instituted in the courts located in Melbourne Victoria, and You expressly consent to the jurisdiction of those courts.
15. Dispute Resolution
Whenever the parties are unable to resolve any dispute, question, or disagreement arising from or relating to these Terms or the Site through good-faith negotiation, the parties agree to pursue mediation as a means to resolve the dispute. If mediation fails, the parties may pursue litigation in the courts of Melbourne Victoria. The prevailing party in any litigation shall be entitled to recover its reasonable attorney’s fees and costs from the non-prevailing party.
16. Miscellaneous
a. No Agency or Partnership: These Terms do not create any agency, partnership, joint venture, or employment relationship between You and Synapse Systems Cloud.
b. Entire Agreement: These Terms, together with any applicable Privacy Policy, and any other rules or policies posted on the Site, constitute the entire agreement between You and Synapse Systems Cloud regarding the Site. These Terms supersede and replace any prior agreements or understandings (whether oral or written) that may have existed between You and Synapse Systems Cloud.
c. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
d. Waiver: Either party’s failure to enforce any provision of these Terms will not be considered a waiver of those provisions, and will not preclude either party from enforcing those provisions, or any other provisions of these Terms, in the future.
e. No Unconscionable Terms: You agree not to attempt to circumvent, modify, or defraud the enforcement of any provision of these Terms.
f. Third-Party Beneficiaries: These Terms do not create any rights for third parties.
17. Changes to Terms
We reserve the right to update these Terms from time to time. You should periodically review these Terms to stay informed of Our updates and any changes. We will notify You of significant changes by posting them on the Site, and/or by posting a prominent notice within the Site. We may also provide notice to You via email or other contact information You provide. Significant modifications may be notified by reasonable means, but You are bound to review these Terms
periodically.
